C\u2019est \u00e0 peu pr\u00e8s ce qu\u2019un propri\u00e9\u00adtaire a promis \u00e0 son successeur potentiel il y a environ cinq&nbsp;ans.<br>\nTr\u00e8s motiv\u00e9, ce dernier \u2014 \u00e0 l\u2019origine chef de projet de l\u2019entre\u00adprise artis\u00adanale \u2014 s\u2019est mis au travail et est devenu en peu de temps un co-entre\u00adpreneur : avec de l\u2019initiative, des commandes propres, de bonnes marges b\u00e9n\u00e9fi\u00adci\u00adaires, etc. Apr\u00e8s trois ann\u00e9es de succ\u00e8s, l\u2019employ\u00e9 a demand\u00e9 au propri\u00e9\u00adtaire quand, sous quelle forme et surtout \u00e0 quel prix la reprise de l\u2019entre\u00adprise pourrait avoir&nbsp;lieu.<br>\nDans sa vie priv\u00e9e, il \u00e9tait entre-temps mari\u00e9 et p\u00e8re d\u2019une petite fille, et en m\u00eame temps, le d\u00e9sir d\u2019avoir une maison avec un jardin germait dans son esprit, bref, il cherchait des perspec\u00adtives, tant profes\u00adsi\u00adon\u00adnelles que priv\u00e9es.<br>\nMais il n\u2019a pas obtenu de r\u00e9ponse valable.<br>\nDepuis lors, deux ann\u00e9es suppl\u00e9\u00admen\u00adtaires se sont \u00e9coul\u00e9es sans que toute l\u2019histoire n\u2019ait vraiment progress\u00e9.<br>\nLa motivation initiale s\u2019est m\u00eal\u00e9e \u00e0 la frustration.<br>\nEnfin, le colla\u00adbo\u00adrateur doit se rendre compte qu\u2019il a cr\u00e9\u00e9 des valeurs essen\u00adti\u00adelles (y compris finan\u00adci\u00e8res) gr\u00e2ce \u00e0 son engagement et qu\u2019il devrait maintenant payer un prix bien plus \u00e9lev\u00e9 pour l\u2019entre\u00adprise que ce qui avait \u00e9t\u00e9 promis \u00e0 l\u2019origine selon la devise \u201cun homme, une parole\u201d.        <strong>A quel point l\u2019enga\u00adgement est-il contraignant ?<\/strong>  Je vois souvent (trop souvent !) des situa\u00adtions de succession dans lesquelles le laps de temps initia\u00adlement suffi\u00adsamment long n\u2019est pas suffi\u00adsamment utilis\u00e9 pour r\u00e9aliser un accord pr\u00e9ala\u00adblement conclu en unissant les forces.<br>\nEt ainsi augmenter la pr\u00e9vi\u00adsi\u00adbilit\u00e9 pour les deux, le repreneur et le c\u00e9dant.<br>\nEt le manque de pr\u00e9vi\u00adsi\u00adbilit\u00e9 peut avoir des cons\u00e9quences&nbsp;!<br>\nPour toute entre\u00adprise, et donc aussi pour le vendeur, il est tout simplement trop dommage que des co-entre\u00adpre\u00adneurs poten\u00adtiels partent chez des concurrents en raison de la frustration.<br>\nPour plus d\u2019infor\u00adma\u00adtions, voir le document n\u00b0 4 :    &nbsp;<a href=\"https:\/\/www.sgnafo-praxis.ch\/nr-4-nachfolge-als-prozess\/\"><a href=\"https:\/\/www.sgnafo-praxis.ch\/nr-4-nachfolge-als-prozess\/\">La succession des PME en tant que processus \u2014 tout au bon moment&nbsp;?<\/a><\/a><\/p>\n","protected":false},"excerpt":{"rendered":"<p>La trans\u00admission d\u2019entre\u00adprise aux colla\u00adbo\u00adra\u00adteurs en place (MBO = Management Buy Out) a pris de l\u2019importance.
