{"id":11560,"date":"2019-04-01T09:58:16","date_gmt":"2019-04-01T07:58:16","guid":{"rendered":"https:\/\/www.sgnafo-praxis.ch\/blog-01-la-diversite-est-la-cle-de-la-reussite\/"},"modified":"2024-07-25T18:07:49","modified_gmt":"2024-07-25T16:07:49","slug":"blog-01-la-diversite-est-la-cle-de-la-reussite","status":"publish","type":"post","link":"https:\/\/www.sgnafo-praxis.ch\/fr\/blog-01-la-diversite-est-la-cle-de-la-reussite\/","title":{"rendered":"Blog 01 : La diversit\u00e9 est la cl\u00e9 de la r\u00e9ussite"},"content":{"rendered":"<p><strong>Chaque succession d\u2019entre\u00adprise est diff\u00e9rente.<br>\nIl n\u2019y a pas de recette miracle.<br>\nMais&nbsp;si&nbsp;?<br>\nLes PME familiales devraient penser en termes de sc\u00e9narios lors de la succession.&nbsp;<\/strong><\/p>\n<p><strong>Et si ?<\/strong>  La succession d\u2019une entre\u00adprise ne se d\u00e9roule pas toujours comme&nbsp;pr\u00e9vu.<br>\nIl ne suffit pas d\u2019avoir une premi\u00e8re id\u00e9e pour que la succession se d\u00e9roule avec succ\u00e8s.<br>\nDe nombreuses familles souhaitent par exemple simplement que leur entre\u00adprise reste entre les mains de la famille.<br>\nMais c\u2019est plus facile \u00e0 dire qu\u2019\u00e0&nbsp;faire.<br>\nEt surtout, cela peut prendre du temps : Les recherches montrent qu\u2019un \u201cFBO\u201d (Family Buy Out) dure en moyenne 6,5 ans \u2014 pendant cette p\u00e9riode, beaucoup de choses peuvent changer : Ce qui \u00e9tait s\u00fbr est souda\u00adi\u00adnement remis en question et peut boule\u00adverser tout un plan, voire le faire \u00e9chouer.      <strong>Et ensuite ?<\/strong>  Il est \u00e9vident que les colla\u00adbo\u00adra\u00adteurs pourraient alors faire le n\u00e9ces\u00adsaire dans le cadre d\u2019un \u201cMBO\u201d (Management Buy&nbsp;Out).<br>\nMais ce processus dure lui aussi en moyenne 3,3&nbsp;ans.<br>\nEt bien s\u00fbr, il n\u2019y a pas non plus de garantie de r\u00e9ussite.<br>\nIl ne reste donc souvent \u201cque\u201d la vente externe comme troisi\u00e8me et quatri\u00e8me variante ou \u2014 et on n\u2019en parle presque jamais&nbsp;!<br>\n\u2014 la cessation d\u2019activit\u00e9 en bonne et due forme, la liquidation.<br>\nLa vente externe n\u2019est pas non plus triviale, rien que la pr\u00e9pa\u00adration des donn\u00e9es et la documen\u00adtation sont exige\u00adantes : comment puis-je pr\u00e9senter \u00e0 un acheteur potentiel mon entre\u00adprise, qui appara\u00eet pour lui comme une \u201cbo\u00eete noire\u201d, de mani\u00e8re \u00e0 ce qu\u2019il ait confiance dans sa capacit\u00e9 de perfor\u00admance et de d\u00e9veloppement&nbsp;?<br>\nEt comment trans\u00admettre des avantages \u2014 tels que des voies d\u00e9cis\u00adi\u00adon\u00adnelles courtes ou le savoir de l\u2019ancien propri\u00e9taire&nbsp;?<br>\nLa premi\u00e8re question \u00e0 se poser lors de la plani\u00adfi\u00adcation d\u2019une succession devrait donc \u00eatre \u201cet&nbsp;si\u201d&nbsp;?<br>\nApr\u00e8s tout, et c\u2019est l\u00e0 l\u2019aspect positif, il est dans la nature de tout entre\u00adpreneur d\u2019envi\u00adsager des variantes et des possibilit\u00e9s.<br>\nLa succession peut donc \u00eatre discut\u00e9e avec plaisir et enthousiasme.<br>\nCar c\u2019est dans la diversit\u00e9 des possi\u00adbi\u00adlit\u00e9s que r\u00e9side le piment \u2014 avec toutefois une petite condition importante : \u00e0 la fin, il faut tout simplement le&nbsp;faire&nbsp;!<br>\nPour plus d\u2019infor\u00adma\u00adtions, voir le document n\u00b0 4 :           &nbsp;<a href=\"https:\/\/www.sgnafo-praxis.ch\/nr-4-nachfolge-als-prozess\/\">\u201cSuccession des PME.&nbsp;comme processus \u2014 tout au bon moment&nbsp;?\u201d<\/a><\/p>\n","protected":false},"excerpt":{"rendered":"<p>Chaque succession d\u2019entre\u00adprise est diff\u00e9\u00adrente.
